I once watched a $12 million acquisition nearly fall apart because nobody had looked under the hood of the target company's tech stack until three weeks before closing. The code was a patchwork of outdated frameworks, there were zero automated tests, and the "proprietary algorithm" turned out to be a series of hardcoded if-statements. The deal still went through, but at a 40% haircut on the valuation.

Technical due diligence isn't glamorous work. It doesn't make headlines like funding rounds or product launches. But it's the difference between acquiring a valuable technology asset and inheriting a money pit. Whether you're an investor evaluating a startup, a founder preparing for acquisition, or a CTO about to merge engineering teams, this checklist covers what actually matters.

What Is Technical Due Diligence, Really?

At its core, technical due diligence answers one question: can this company's technology deliver on the business promises being made?

That means evaluating not just the code, but the architecture, the team, the processes, the infrastructure, the security posture, and the technical debt load. A company might have brilliant technology running on infrastructure that can't scale. Or a solid architecture maintained by a single developer who's about to leave. Context matters as much as code quality.

Typically, tech due diligence happens during M&A transactions, funding rounds (especially Series B and beyond), and major partnership agreements. It usually takes 2-4 weeks and involves senior engineers or specialized consultants reviewing everything from Git repositories to AWS bills.

The Checklist

I've organized this into the areas that matter most, roughly in order of importance. Not every item will apply to every company, but skipping entire sections is how nasty surprises happen.

1. Architecture and System Design

This is where you understand what you're actually buying — or investing in.

  • System architecture diagram: Does one exist? Is it current? Can the CTO walk you through it coherently? If there's no documentation and it's all "in people's heads," that's a red flag.
  • Service boundaries: Is it a monolith, microservices, or something in between? None of these are inherently bad, but the choice should be intentional and appropriate for the company's stage and scale.
  • Data flow: How does data move through the system? Where are the bottlenecks? What happens when a component fails?
  • Third-party dependencies: What external services and APIs does the product depend on? What happens if one of them goes down or changes pricing? I've seen startups whose entire product depended on a single API with no SLA.
  • Technical debt assessment: Every codebase has technical debt. The question is whether it's managed and understood, or whether it's a ticking time bomb. Ask for the team's honest assessment of their biggest technical liabilities.

2. Code Quality and Engineering Practices

You don't need to read every line of code, but you do need to understand the engineering culture.

  • Version control: Is everything in Git? Are there meaningful commit messages and a clear branching strategy? It sounds basic, but you'd be surprised how many early-stage startups have messy or incomplete version control.
  • Code review process: Do pull requests get reviewed before merging? By whom? What are the standards? A strong code review culture is one of the best predictors of code quality over time.
  • Testing: What's the test coverage? More importantly, what kinds of tests exist? Unit tests, integration tests, and end-to-end tests serve different purposes. A codebase with 90% unit test coverage but no integration tests can still be fragile in production.
  • CI/CD pipeline: Can the team deploy to production confidently and frequently? How long does it take? What's the rollback process? Companies that deploy weekly with automated testing are in a fundamentally different position than those doing manual deployments monthly.
  • Coding standards: Are there linters, formatters, and style guides? Consistency matters more than specific choices. Inconsistent code is expensive to maintain.

3. Infrastructure and Operations

The best code in the world is worthless if it can't run reliably in production.

  • Hosting and cloud setup: Where does everything run? Is infrastructure defined as code (Terraform, CloudFormation) or was it configured by hand through a console? Manual infrastructure is fragile and hard to replicate.
  • Scalability: Can the system handle 10x current load? 100x? What would need to change? Get specific answers, not hand-waving about "cloud elasticity."
  • Monitoring and alerting: What tools are in place? Who gets paged when something breaks? How quickly are incidents typically resolved? Ask for their last three significant outages and how they handled them.
  • Disaster recovery: Are there backups? Are they tested? What's the recovery time objective? I've encountered companies that had backups configured but had never actually tested restoring from them. That's the same as having no backups.
  • Cost efficiency: Review the cloud bills. Are resources right-sized? Are there idle instances or forgotten services running up costs? Cloud waste is common and can be substantial — I've seen companies reduce their infrastructure costs 30-50% just through cleanup.

4. Security and Compliance

Security issues can kill deals and create enormous liability. This section deserves serious attention.

  • Authentication and authorization: How are user accounts managed? Is there proper role-based access control? Are passwords hashed with modern algorithms (bcrypt, Argon2), not MD5 or SHA-1?
  • Data encryption: Is sensitive data encrypted at rest and in transit? Are encryption keys properly managed? Where are secrets stored — hopefully not hardcoded in the repository.
  • Vulnerability management: Are dependencies kept up to date? Is there a process for responding to security advisories? Run a dependency audit — outdated packages with known vulnerabilities are one of the most common findings.
  • Penetration testing: Has the application been pen-tested? When was the last time? Were findings addressed? For any company handling sensitive data or payments, a recent pen test should be non-negotiable.
  • Compliance: Depending on the industry — HIPAA for healthcare, PCI-DSS for payments, SOC 2 for SaaS, GDPR for European users. Verify that compliance claims are backed by actual controls, not just policy documents that nobody follows.
  • Access controls: Who has access to production systems? Is there an offboarding process that revokes access when employees leave? Are there audit logs?

5. Data and Intellectual Property

Data is often the most valuable asset in a technology acquisition. Make sure you're getting what you think you're getting.

  • Data ownership: Does the company actually own its data? Are there licensing restrictions from data providers? Can the data be transferred in an acquisition?
  • Database architecture: Is the data model well-designed and documented? Are there data integrity constraints? How large are the databases and what's the growth rate?
  • IP ownership: Was all code written by employees or contractors with proper IP assignment agreements? Was any code copied from previous employers or open-source projects with incompatible licenses? This is a bigger issue than most people realize.
  • Open-source compliance: What open-source libraries are used, and under what licenses? GPL-licensed code in a proprietary product can create serious legal complications. Run a license audit.
  • Data privacy: How is personal data collected, stored, and processed? Is there a data retention policy? Can the company fulfill data deletion requests (right to be forgotten)?

6. Team and Knowledge

Technology doesn't build itself. The team behind it is as important as the code.

  • Key person dependencies: Is critical knowledge concentrated in one or two people? What happens if they leave? This is the "bus factor" — how many people need to be hit by a bus before the project is in serious trouble? A bus factor of 1 is a major risk.
  • Documentation: Is there architectural documentation, API documentation, runbooks for operations? Tribal knowledge doesn't survive team transitions.
  • Team composition: Does the team have the right skills for the technology stack? Are there gaps that need to be filled post-acquisition?
  • Retention risk: In M&A specifically, key engineers leaving post-acquisition is one of the biggest risks. What retention mechanisms are in place? Are there vesting schedules or earnouts tied to continued employment?
  • Development velocity: How quickly can the team ship features? Look at deployment frequency, cycle time (idea to production), and whether velocity is trending up or down.

7. Product and Roadmap

  • Product-market fit evidence: Beyond the technology, is there evidence that customers actually value what's been built? Look at usage metrics, retention rates, NPS scores, and revenue growth.
  • Roadmap feasibility: Is the planned roadmap achievable with the current team and architecture? Sometimes companies promise features that would require fundamental re-architecture to deliver.
  • Integration complexity: If this is an acquisition, how difficult will it be to integrate with the acquiring company's existing systems? Get a realistic estimate from engineers who understand both sides.

Red Flags That Should Give You Pause

Over the years, I've developed a mental list of findings that consistently predict bigger problems:

  • No version control history — or a repository that was initialized recently with a single commit containing the entire codebase. What are they hiding?
  • Zero tests. Not low test coverage — literally zero automated tests. In 2026, this signals a fundamental lack of engineering discipline.
  • Secrets in the code repository. API keys, database passwords, or encryption keys committed to Git. This is both a security vulnerability and a sign that security isn't taken seriously.
  • Single point of failure engineer. One person who built everything, knows everything, and has no documentation. If they leave, you're in serious trouble.
  • Outdated dependencies with known vulnerabilities. Everyone gets behind sometimes, but a system running on frameworks 3+ major versions behind with unpatched CVEs shows neglect.
  • No monitoring in production. If the team doesn't know when their system is down until users complain, operations maturity is very low.
  • Inability to deploy quickly. If a deployment takes days of preparation and manual steps, iteration speed will be painfully slow.

How to Use This Checklist

Don't treat this as a pass/fail exam. No company, especially an early-stage startup, will check every box perfectly. The goal is to understand the risk profile of the technology and factor that into your decision.

A startup with solid architecture but low test coverage is a different risk than one with good tests but a fragile, hand-configured infrastructure. Both are addressable — but they require different investments and timelines.

The most important thing is to go in with eyes open. Technical debt you know about and have priced into the deal is manageable. Technical debt you discover six months after closing is a crisis.

If you don't have the in-house expertise to conduct a thorough technical review, bring in specialists. The cost of a proper tech due diligence engagement — typically $15K to $50K — is trivial compared to the cost of a bad investment or acquisition.
